ExamWorks Canada is a leading Canadian provider of independent medical assessment, occupational health, rehabilitation, disability management, and related professional services to insurers, employers, law firms, government agencies, and other organizations across Canada.

ExamWorks Canada is seeking a Corporate Counsel to join its legal department on a full-time, remote basis. Preference will be given to candidates admitted to practice in Quebec or Ontario and who are proficient in both English and French.

Reporting directly to the General Counsel, this role will support all aspects of the Company's legal affairs and work closely with business leaders across Canada.

Responsibilities

Essential duties and responsibilities include, but are not limited to, the following:

  • Draft, review, negotiate, and manage a wide variety of commercial agreements, including customer, supplier, service, consulting, confidentiality, software, and technology agreements.
  • Provide timely and practical legal advice to business leaders and operational teams.
  • Assist with privacy, data protection, cybersecurity, and information governance matters.
  • Support employment-related matters, including employment agreements, workplace policies, accommodations, investigations, and terminations.
  • Conduct legal research and prepare practical legal advice for internal stakeholders.
  • Assist with regulatory, compliance, and risk-management matters.
  • Support mergers, acquisitions, business integrations, and other strategic transactions, including legal due diligence and document review.
  • Coordinate with external counsel on litigation, employment, regulatory, and commercial matters.
  • Assist with corporate governance, corporate records maintenance, and subsidiary management.
  • Review and develop corporate policies and compliance programs.
  • Identify legal risks and provide practical, business-oriented solutions.
  • Support the General Counsel on special projects and other legal matters as required.
Qualifications

Education and Experience

  • Juris Doctor (JD), Bachelor of Laws (LLB), Licence en droit (LL.L), or equivalent law degree from an accredited law school.
  • Member in good standing of the Law Society of Ontario or the Barreau du Quebec. Preference will be given to candidates who are admitted to practice in both Ontario and Quebec.
  • Approximately 2-4 years of post-call legal experience.
  • Experience practicing at a recognized regional or national law firm is strongly preferred.
  • Experience drafting and negotiating commercial agreements.
  • Experience with privacy, data protection, healthcare, employment, technology, or regulatory matters is considered an asset.
  • Professional working proficiency in both English and French is strongly preferred.

  • Bilingualism (English/French) is a significant asset.
