The Opportunity
This role will lead the legal team supporting our dynamic Power and Energy Solutions (PES) business unit and our Corporate Development team. We are seeking someone with strong leadership skills and business acumen to lead a capable team of lawyers and legal professionals. The Director will partner with the business to provide commercial, regulatory, transactional, marketing, trading and compliance legal support. The Director will also coordinate with other teams within the legal department in connection with issues relating to financing, litigation, and public disclosure. This role will report to the Vice President, Canada and Mexico Pipelines, PES & Corporate Development Law and could be located in either Calgary or Houston. Travel within Canada and between Canada and the US will be required.
What you’ll do
- Lead a team of lawyers and legal professionals and partner effectively with the business to provide timely, pragmatic and high-quality legal support
- Lead and oversee complex legal matters, including:
- Commercial and regulatory legal support for operating assets, proposed projects and business development opportunities in Canada and the US
- Acquisition, divestiture, and joint venture transactions
- Ongoing legal support for the management of TC’s joint venture interests
- Commercial and regulatory support for power and gas marketing activities, including financial and physical commodity trading agreements and associated derivatives transactions, as well as market compliance and reporting in Canada and the US
- Mentor team members and provide feedback, guidance and direction
- Manage external legal counsel where required
- Develop and manage departmental budgets, including the management of external counsel retainers where applicable
- Champion the adoption of artificial intelligence tools to provide effective legal support and reduce external legal spend
- Respond and provide advice during emergency incidents
Minimum Qualifications
- Bachelor of Laws or Juris Doctor degree
- Active license to practice law in Canada or the US (New York and/or Texas preferred)
- 15 years of legal experience
- Strong collaboration and communication skills
- Strategic thinking and a growth mindset
Preferred Qualifications
- Experience leading an in-house legal team
- Experience within the power industry in Canada and/or the US
- Experience leading acquisition, divestiture or joint venture transactions
This position requires candidates to:
- Have current, valid authorization to travel internationally (including but not limited to Canada, US and Mexico)
- Travel to other company locations for temporary assignments, meetings or training
