About the role 


The successful candidate will be responsible for three primary functions: drafting, negotiating, reviewing, and amending client and vendor contracts; minimizing corporate risk and ensuring compliance with relevant legislation; and providing legal advice to support business decisions.

 

This is an in-person role based out of our Sherwood Park, Alberta office.

Here's what you'll be doing:

  • Managing third-party contracts, including reviewing contract terms, raising concerns (e.g. financial, operational, practical), negotiating amendments, ensuring team members comply with the contract requirements, and managing renewals, including negotiating new terms 
  • Drafting, reviewing, and managing issuance and renewal of corporate contracts, ensuring internal compliance with their terms (e.g. accounting practices, software development, customer support), as well as reviewing all client-proposed amendments and leading negotiations 
  • Acting company Privacy Officer, fulfilling all associated duties, including investigating, responding to and resolving privacy complaints 
  • Monitoring evolving legislation, court decisions, and industry best practices to ensure regulatory compliance 
  • Identifying and mitigating corporate risk through implementation of a variety of strategies 
  • Developing new and monitoring existing corporate risk and compliance practices and controls 
  • Developing and continuously improving upon training used to educate team members about legal obligations (e.g. internal and third-party contract terms, privacy legislation), operational requirements (e.g. SOC compliance) and risk management controls 
  • Negotiating desirable contract terms
  • Ensuring adequate insurance and vendor services
  • Providing legal advice to support business decision making
  • Acting ESOP (Employee Stock Ownership Program) plan administrator

  • Exhibit a high level of competence and resourcefulness, with excellent problem-solving skills 
  • Possess strong contract drafting, review, and negotiation skills 
  • Demonstrate the ability to research burgeoning and relevant case law to deliver recommendations based on the findings 
  • Have a strong desire to learn all facets of our business operations and software 
  • Enjoy working in a fast-paced environment and can respond quickly to changing business priorities and needs 
  • Are highly adaptable, demonstrating the ability to work within a team or independently 
  • Have consistently demonstrated the ability to apply knowledge to novel situations and achieve successful outcomes 
  • Demonstrate strong interpersonal and written and verbal communication skills 
  • Have a proven track record of meeting commitments and acting with integrity and humility 
  • Can manage a small team (1-3 team members) 

Qualifications:

  • A Member in good standing with the Law Society of Alberta or willingness to do so upon successful selection
  • A successful track record of 2+ years of corporate law experience, with preference given to experience within an in-house legal counsel position
