Working closely with Circle's Transactions and Corporate Governance Legal teams, you will support meaningful workstreams that advance execution, strengthen legal rigor, and enable business teams to move efficiently in a fast-evolving digital asset environment.

What you'll be responsible for:
You will contribute to live, high-impact matters across Circle's core growth areas, including M&A and strategic transactions, corporate governance, capital markets initiatives, and commercial transactions. Working closely with Circle's Transactions and Corporate Governance Legal teams, you will support meaningful workstreams that advance execution, strengthen legal rigor, and enable business teams to move efficiently in a fast-evolving digital asset environment.
What you'll work on:
- Conduct legal research and issue-spotting on novel questions at the intersection of commercial law and digital asset ecosystems.
- Draft and revise transaction-related documents, including NDAs, commercial agreements, investment-related acquisition agreements, etc.
- Conduct legal due diligence and draft memoranda summarizing findings for legal and business stakeholders.
- Track deal terms and support transaction management processes across active matters.
- Contribute to the development of internal playbooks and process improvements to enhance efficiency and consistency across recurring transaction types.
- Support corporate governance matters, including preparation of parent and subsidiary board and committee materials, resolutions, and corporate records.
- Assist with public company filings, including post-annual meeting filings, Section 16 filings for executive officers and directors, and other non-ordinary course filings.
- Assist with subsidiary management, entity governance documentation, and maintenance of corporate formalities.
- Support corporate finance initiatives, including drafting and reviewing intercompany financing agreements and related approvals, and contributing to capital markets-related workstreams.
What you'll bring to Circle:
Core Requirements:
- Enrollment at a top law school (T-14 preferred) - candidates must have high grades and be actively engaged with a range of extracurricular activities (completion of 1L year required).
- Strong academic performance with coursework in corporate law, corporate finance, securities regulation, commercial law, or other transactional disciplines.
- Demonstrated interest in deal work, venture investing, corporate governance, capital markets, corporate finance, and/or commercial transactions.
- Ability to handle confidential information with discretion.
Passion for Circle's mission and values, financial technology and the disruptive potential of cryptocurrency and blockchains. - Comfort working outside your comfort zone in an evolving and growing environment that is prone to rapid changes, extreme velocity and managing multiple projects simultaneously.
- Strong business judgment, problem-solving skills, and the ability to work both independently and collaboratively in time-sensitive situations.
Preferred Requirements:
- Highly organized, proactive, and team-oriented.
- Excellent written and verbal communication skills in English.
- Experience/familiarity with Slack, Apple MacOS, GSuite.
- Familiarity with generative AI models (ChatGPT, Gemini, etc.) and prompt development.
