We are actively recruiting for a dynamic, experienced corporate transactional or technology lawyer to join our growing legal team. Our ideal candidate is comfortable working with all levels of management to gain an in-depth understanding of our strategy and services. Candidate will maintain the highest professional and ethical standards, have excellent time management, organization and decision-making abilities, be able to prioritize projects and deadlines, be collaborative and accountable while performing in a fast-paced and evolving environment.
Key Responsibilities:
Prepare, review and negotiate complex commercial contracts.
Solve unique and complex commercial, legal and client regulatory issues with impact on the business unit or function and through conceptual and innovative thinking to develop solutions.
Review business practices and policies and advise management of potential risks and mitigations.
Analyze various legal and business issues, discuss with subject matter experts, and advise business leaders.
Support and advise business development and sales teams in creating and selling new products and services.
Evaluate matters which may have a major bearing on the conduct of our organization’s business.
Basic Skill Level Requirements:
Education and Experience:
JD from an accredited law school and a member of the Ontario bar in good standing.
A minimum of 5 years’ experience as a corporate transactional lawyer or technology lawyer in a top tier law firm. In-house experience is a plus.
Strong contract drafting, negotiation and deal management experience. Experience with SaaS and other technology agreements is a plus.
Ability to manage complex deals independently.
Ability to anticipate internal and external business challenges and/or regulatory issues; recommend process, product or service improvements; solve unique and complex problems that have a broad impact on the business; contribute to the development of functional strategy; lead project teams to achieve milestones and objectives.
Familiarity with data privacy and laws and regulations related to data use highly desired.
Skilled at communicating, both verbally and in writing, with customers and at the senior leadership-level.
Skilled in the use of Microsoft Word and Outlook.
Ability to manage multiple tasks simultaneously within strict deadlines and with a high degree of accuracy.
Ability to participate as a member of a team, assisting in other projects as needed or as assigned.
