About the role

TAR develops, builds, owns, and operates fully islanded solar and storage campuses that deliver firm power to AI data centers, with no utility interconnection and no gas generation. Financing that infrastructure is what turns projects in the ground into a repeatable business: each campus sits in its own project SPV and carries a mix of construction and term debt, tax equity, ITC transfer, and equipment financing that has to be structured, negotiated, and closed on aggressive timelines. As Project Finance Lead, you own financing execution end to end. You take live transactions from term sheet through diligence, documentation, and close, build and defend the models behind them, and drive the counsel, advisors, and counterparties that get deals done. This is a high-ownership individual contributor seat for someone who has run significant workstreams on live transactions, based on-site in New York, San Francisco, or Austin.

Responsibilities
  • Lead financing execution across construction and term debt, tax equity and ITC transfer transactions, and equipment financing, driving term sheet negotiations and managing lender and counsel relationships through documentation and close.

  • Structure and document offtake and credit support arrangements, including PPAs, guarantees, and other instruments, and account for how each affects debt sizing, covenant mechanics, and lender underwriting.

  • Build and own the models behind live deals: debt sizing, DSCR waterfalls, tax equity and transferability economics, restricted payment mechanics, levered and unlevered returns, and multi-scenario sensitivities, serving as the team's primary check on model integrity.

  • Manage external counsel, financial advisors, and counterparty working groups, tracking open legal and commercial issues, flagging risks to senior leadership, and pushing resolutions forward on deal timelines.

  • Design and stress-test capital structures across HoldCo, OpCo, and project SPV arrangements, including cross-collateralization, cross-default, and intercreditor mechanics, and work with legal to translate structural decisions into documentation.

  • Analyze and negotiate equity-linked and warrant structures, including warrant agreements and co-invest instruments issued alongside strategic offtake or partnership arrangements.

  • Own investor and lender materials, from investment memos and lender presentations to internal approval packages, and codify deal learnings into the frameworks and playbooks that keep execution consistent as the pipeline grows.

  • Partner across development, power systems, procurement, legal, and policy to gather inputs, pressure-test commercial assumptions, and ground financing structures in operational reality, translating capital markets concepts for non-finance stakeholders.

Qualifications
  • 2-6 years in investment banking, private equity, project finance, or another transaction-focused finance role at a bank, fund, or infrastructure sponsor.

  • Demonstrated experience owning significant workstreams on live transactions, from diligence through close.

  • Deep financial modeling capability: able to independently build, audit, and pressure-test project finance models with complex capital structures.

  • Proven ability to manage external advisors and counterparty workstreams while driving transactions forward on timeline.

  • Excellent written communication: you can independently draft clear, concise investment memos, term sheets, and board-level materials.

Nice to have
  • Prior exposure to power, renewables, energy storage, data centers, or other capital-intensive real asset sectors, on the debt or equity side.

  • Strong working knowledge of credit agreement mechanics, covenant structures, and project finance documentation.

  • Familiarity with tax equity, ITC transferability, and other clean energy incentive structures.

  • Experience with offtake agreements, guarantees, or other credit support structures and their impact on financing economics and lender underwriting.

  • Understanding of SPV structuring, multi-lender intercreditor arrangements, and cross-collateralization mechanics.
