The RoleHiggsfield is seeking a Senior Counsel, Commercial to serve as a key legal partner to our Sales, Partnerships, Marketing, and other teams.
This role sits within the company's commercial legal function, potentially supporting enterprise sales, strategic partnerships, procurement, and other initiatives across a rapidly growing global business. You will also help build and optimize our contracting processes and controls to keep pace with accelerating revenue and business growth.
The ideal candidate is an exceptional, detail-oriented commercial attorney who thrives in fast-paced, demanding environments. He or she must intuitively understand how to balance legal risk with business objectives and can communicate guidance in a highly practical way.
This position is based in the San Francisco Bay Area or Los Angeles, or in Almaty, Kazakhstan.
What You'll DoDrive Commercial TransactionsLead the negotiation, drafting, and execution of complex commercial agreements, including:
Enterprise customer agreements
SaaS agreements
Talent and partnership agreements
Vendor and procurement contracts
Marketing and distribution partnerships
Partner directly with GTM leadership to support sales cycles and remove legal bottlenecks that impact revenue generation.
Provide practical legal guidance that balances risk management with business growth objectives.
Support international commercial expansion and evolving go-to-market strategies.
Work closely with our distributed workforce across timezones and legal jurisdictions.
Collaborate with cross-functional stakeholders to support new product launches, features, partnerships, and strategic initiatives.
Advise leadership on commercial risk management and strategic transactions, and propose pragmatic solutions.
Support special projects and emerging business priorities as the company continues to scale.
Develop and maintain contract templates, negotiation playbooks, fallback positions, and approval frameworks.
Improve contracting processes and workflows to increase efficiency and shorten deal cycles.
Partner with business stakeholders to optimize and scale contract management systems and reporting.
Monitor legal and regulatory developments impacting AI, digital media, content generation, advertising technology, consumer protection, and enterprise software businesses.
J.D. from an accredited law school and active membership in at least one U.S. state bar.
6+ years of legal experience, including substantial experience negotiating and advising on commercial transactions.
Combination of top law firm and in-house experience strongly preferred.
Exceptional drafting, negotiation, and communication skills.
Strong expertise in sales transactions, SaaS agreements, licensing, marketing, strategic partnerships, and data-related agreements.
Experience advising high-growth technology businesses.
Strong business judgment with the ability to provide practical, actionable advice.
Ability to manage multiple priorities and operate independently in a fast-moving, demanding environment.
Collaborative, low-ego, and highly execution-oriented mindset.
Experience supporting AI, machine learning, creator economy, digital media, advertising technology, or content platforms.
Experience building commercial legal processes in a high-growth startup environment.
Familiarity with data privacy, intellectual property, consumer protection, and AI regulations.
Substantial experience working with Ironclad strongly preferred.

We offer a competitive and thoughtfully structured compensation package designed to align with impact and growth.
Base Salary: The anticipated salary range for this role is $200,000 - $240,000, depending on experience, skills, and location.
In addition to cash compensation, we offer equity and a benefits package to support you both professionally and personally.
